Terms of Service

These terms govern access to and use of Beacon Build, including estimate outputs, company subscriptions, and managed AI historical extraction.

Users are responsible for accurate registration information, authorized access, and lawful use of the service and submitted data.

AI-assisted extraction

AI extraction remains a convenience feature only. Beacon managed AI Agent may use underlying providers including OpenAI ChatGPT as the primary managed provider, Anthropic Claude as a managed fallback, and Google Gemini only where enabled. Human review is still required.

Output responsibility

Estimate, benchmark, and economics outputs support internal decision-making but must not replace professional review for material commitments.

1. Service Scope

Beacon Build is a business software product for project teams that review bids, organize historical cost data, generate estimating outputs, manage budgets, and connect cost decisions to project economics. Market data, construction indices, and default assumptions may vary by country or project setup.

Beacon Build is not a replacement for professional advice, procurement diligence, engineering review, quantity surveying, legal review, or project-specific budgeting judgment. Use of this service does not create a professional, advisory, or fiduciary relationship of any kind. We are not acting as, and must not be relied upon as, consultants, engineers, quantity surveyors, cost advisors, financial advisors, or legal counsel.

2. Accounts And Access

You are responsible for keeping account credentials secure, maintaining the accuracy of account information, and restricting access to authorized users within your organization.

You are responsible for all activity that occurs under your account unless caused by our breach of these terms or applicable law.

Beacon Build is intended for use by individuals who are at least 18 years of age. By creating or using an account, you represent that you meet this requirement.

3. Your Data And Permissions

You are responsible for the accuracy, legality, and completeness of the data entered into the product, including project assumptions, historical costs, and any information about third parties.

You represent that you have the right to upload or input the information used with the service and that doing so does not violate applicable law, contract, confidentiality obligations, or third-party rights.

Outputs generated by the service depend entirely on the inputs, assumptions, and data you provide. The accuracy, reliability, and completeness of any estimate or output is a direct function of the quality and completeness of the underlying data you enter.

If you use AI-assisted extraction, you are responsible for reviewing and confirming the extracted data before saving it or relying on it for any downstream estimate, benchmark, or business decision.

4. Customer Data Confidentiality

As between you and us, you retain your rights in customer data that you submit to the service, including project records, historical cost data, estimate inputs and outputs, notes, and related business information.

Customer-entered project records, historical costs, rents, notes, overrides, and similar business inputs are treated as confidential customer data.

Confidential customer data is used only to host, secure, maintain, support, and provide the service for the relevant customer account, and as otherwise required by law.

Confidential customer data is not sold and is not reused to benefit another customer without authorization.

5. Market Reference Data

If market-reference features are added in the future, any public or third-party reference data should come from lawful, licensed, or otherwise authorized sources.

Public or licensed market-reference data should be kept separate from confidential customer-entered data in both product logic and legal treatment.

Customer-entered rents, pricing assumptions, and similar confidential inputs should remain company-private and should not be pooled into cross-customer datasets.

If Beacon Build later includes market-reference features, we may use lawful, licensed, or otherwise authorized external reference data to support those features without changing the confidential status of customer-entered data.

Customer-entered project records, exact project costs, bid prices, vendor pricing, uploaded documents, and source line items remain company-scoped and are not made available to other customers.

Service diagnostics may be used to operate, maintain, improve, and develop the service only where they do not reveal confidential customer content or pricing.

6. AI-Assisted Extraction

Beacon Build may offer AI-assisted extraction for historical intake and related document-parsing workflows. The product may refer to this workflow as Beacon managed AI Agent. When you use that feature, the relevant document content is transmitted to an underlying AI service provider to perform the extraction request. Providers may include OpenAI ChatGPT as the primary managed provider, Anthropic Claude as a managed fallback, and Google Gemini only where enabled.

The managed workflow is designed to use OpenAI as the primary provider for supported source types, including PDFs, and Anthropic Claude as a fallback when needed. Google Gemini is included only where separately enabled.

This transmission uses Beacon Build-managed provider credentials. Managed agent use does not remove the requirement to review extracted data before saving it into the workspace.

Large text, CSV, and spreadsheet-derived sources may be processed through managed intake sessions and chunks, with server-owned extraction candidates retained so accepted values can be tied back to source evidence.

Under the current API policies of the providers we support, API inputs and outputs are not used for model training by default. The relevant provider's own API data-handling policy, privacy commitments, and terms still apply to the extraction request.

The current workflow-specific AI Data Handling Notice is available at /ai-data-handling. That notice explains the managed extraction workflow, provider disclosure, retained evidence, and versioned approval requirement for supported AI import features.

AI-assisted historical intake may retain the uploaded source file, extraction summary, source-location evidence, managed intake session, document locators, extraction candidates, managed agent, provider and model metadata, and review status as company-scoped source evidence. This retained evidence supports auditability and human review; it does not make the extracted values authoritative.

Company administrators may disable external AI processing for a workspace. If disabled, managed AI extraction will not process uploaded documents for that company until the setting is changed by an authorized administrator.

AI-assisted extraction is a convenience feature and not an authoritative substitute for human review. You are responsible for reviewing, correcting, and confirming extracted data before it enters your historical library or influences any output generated by the service.

7. Estimate Outputs And Liability For Outputs

The service generates various outputs from user-provided data and third-party reference sources. These include: estimate outputs, AI-extracted data from uploaded documents, construction price index escalations, benchmark figures, confidence scores, budget calculations, unit economics projections, and bid comparison results. All such outputs are provided for internal decision-support purposes only.

All outputs reflect only the inputs, assumptions, and reference data available at the time of generation. We do not independently verify, audit, or supplement user-provided data. The accuracy, reliability, and completeness of any output is a direct function of the quality of the underlying data you enter.

Decision Support Memos, award-readiness indicators, suggested actions, bid-review verdicts, and similar review labels are decision-support outputs only. They do not approve an award, certify a bid, replace procurement judgment, or create professional advice.

You are responsible for validating scope, exclusions, allowances, taxes, schedule basis, source documents, commercial terms, assumptions, and project-specific context before relying on any memo, verdict, benchmark figure, estimate output, or suggested action.

You assume all risk associated with reviewing, validating, relying upon, sharing, or acting on any output generated by the service, including outputs derived from AI extraction, public reference data, construction indices, or benchmarks. Outputs must not be used as the sole or primary basis for, and must not be submitted or presented as authoritative inputs to, financing applications, lender submissions, investment decisions, equity raises, land acquisition, regulatory filings, procurement commitments, or any other material decision.

We make no representation and provide no warranty regarding actual project outcomes. We expressly disclaim any warranty with respect to: actual construction costs, tender prices, contract awards, project schedules, unit rents, occupancy rates, lease-up timelines, financing approvals, net operating income, yield, return on investment, internal rate of return, or any other financial or operational outcome of a building, construction, capital, or real estate development project.

Outputs should be reviewed by qualified professionals, including professional estimators, quantity surveyors, cost consultants, and financial advisors as appropriate, before being relied upon for material decisions.

8. Acceptable Use

You may not use the service to break the law, interfere with the operation or security of the service, attempt unauthorized access, reverse engineer protected parts of the product where prohibited, or upload material that you do not have the right to use.

9. Subscriptions And Billing

Beacon Build is sold on a per-company basis. Commercial terms may be agreed directly with the founders or in a separate order form. The applicable order terms govern fees, billing cycle, renewal timing, promotional terms, included managed-AI extraction balance, and any extraction-pack purchases for your company.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. Promotional or founding pricing that is stated to be locked for a defined term will remain in place for that term. After that term ends, renewal will occur at the then-current standard rate for the applicable plan unless otherwise agreed in writing or prohibited by law. We will provide advance notice before a locked promotional term ends.

Managed AI historical extraction may be included as part of company setup and may be subject to an included extraction balance. Additional extraction packs, if purchased, are one-time purchases rather than recurring subscriptions unless explicitly stated otherwise in an order form.

Payment processing may be handled through third-party payment processors such as Stripe and PayPal. You authorize us and our payment processors to charge the applicable subscription or extraction-pack fees, plus taxes where required, using the payment method you provide.

If a payment fails on an active subscription or extraction-pack purchase, we may suspend access to paid features or decline to grant additional managed-AI credits until the payment issue is resolved. We will attempt to notify you using the billing email or account email on file. If an account remains suspended for an extended period due to non-payment, we reserve the right to terminate the account following reasonable prior notice, after which we may delete associated data in accordance with our retention policy.

Fees paid under active subscriptions or extraction-pack purchases are generally non-refundable except where required by applicable law or at our sole discretion. Taxes, processor fees, chargeback costs, and foreign-exchange costs are not refundable unless required by law.

10. Managed AI Extraction Credits

Where managed AI historical extraction is available, it is provided as a controlled convenience feature and may be limited by included extraction balances, purchased extraction packs, file-size restrictions, provider availability, and abuse-prevention rules. We may change the providers, models, limits, or credit-consumption rules used for managed extraction from time to time.

An extraction credit is consumed when a document extraction attempt is processed successfully. Validation rejections before extraction begins and provider-side technical failures may be handled differently from successful extractions. The product or applicable order terms may describe the current credit-consumption rule in more detail.

Managed AI extraction remains subject to provider availability, file support, rate limits, and our own operational controls. We are not required to make any particular AI provider, model, or usage mode available at all times.

Managed AI extraction credits apply to document-processing convenience and do not shift responsibility for validating the extracted data. You remain responsible for confirming extracted values before they enter your historical library or influence project decisions.

11. Service Changes And Availability

We may update, improve, suspend, or discontinue parts of the service from time to time. We will use commercially reasonable efforts to avoid unnecessary disruption, but continuous availability is not guaranteed and no service-level commitments are made unless separately agreed in writing.

12. Force Majeure

We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including acts of God, natural disasters, infrastructure outages, failures of third-party service providers, cyberattacks, labour disputes, or changes in law or government orders.

13. Third-Party Services And Public Data

The service relies on third-party providers, including infrastructure, hosting, database, authentication, payment-processing, and AI-service vendors, and may incorporate public reference data such as construction-index information. Those providers and data sources may change over time.

Where third-party providers process customer data on our behalf, they do so only to help us operate the service.

Use of the product may therefore depend in part on the availability, terms, and technical performance of those third-party services.

14. Warranties And Liability

To the fullest extent permitted by applicable law, Beacon Build is provided on an as-available basis without guarantees of uninterrupted service, merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that any data, outputs, or results generated by the service are accurate, complete, or reliable.

To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, business interruption, or loss of goodwill, arising from or related to your use of the service, even if we have been advised of the possibility of such damages.

To the extent that any liability is found despite the foregoing, our total liability for all claims arising from or related to these terms or your use of the service will not exceed the fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred Canadian dollars (CAD $100), whichever is greater.

Nothing in these terms limits liability where such a limitation is prohibited by applicable law. In all cases, you remain responsible for project decisions and professional review of the outputs generated by the service.

15. Indemnification

You agree to indemnify, defend, and hold harmless Beacon Build and its officers, directors, employees, agents, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the service in violation of these terms; (b) data or content you submit to the service, including any claim that such data violates applicable law or third-party rights; (c) your violation of any applicable law or regulation; (d) any third-party claim arising from your reliance on, use of, or distribution of outputs generated by the service, including estimate outputs, AI-extracted data, benchmark figures, or index escalations; or (e) your failure to obtain independent professional review before acting on or sharing any output.

16. Suspension, Termination, And Data Handling

We may suspend or terminate access where reasonably necessary to protect the service, investigate misuse, comply with law, or enforce these terms.

Company account administrators may request account closure at any time. Before closure is confirmed, the account holder will be shown a summary of the data associated with the account and the applicable retention period. Closure takes effect upon confirmation.

Following confirmed account closure, access to the service is revoked. We will process deletion of customer data within approximately 90 days of the confirmed closure date, subject to extended retention of up to 12 months where required for backup cycles, fraud prevention, recordkeeping, or legal compliance. We are not required to retain customer data beyond the applicable retention period.

We do not guarantee data export tools at this time. If you require a copy of your data, contact us before confirming closure and we will make commercially reasonable efforts to assist.

Termination does not relieve either party of obligations that accrued prior to the termination date, including payment obligations or claims arising from events before termination.

17. Governing Law

These terms are governed by and construed in accordance with the laws of the Province of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Any disputes arising from these terms or your use of the service will be subject to the exclusive jurisdiction of the courts of the Province of Nova Scotia, and you consent to the personal jurisdiction of those courts.

18. Regional Terms And Non-Waivable Rights

These terms are intended for business use and are governed by the Nova Scotia law provision above, but nothing in these terms limits rights, remedies, privacy rights, consumer protections, or statutory obligations that cannot lawfully be excluded or limited in a user's applicable jurisdiction.

If a regional law requires a different notice, cancellation right, liability rule, dispute forum, or data-processing term for a specific user or company, that mandatory rule applies only to the extent required by that law and does not otherwise change the agreement.

Customers operating in more than one country remain responsible for confirming that their uploaded project documents, procurement records, and AI extraction instructions comply with their own contractual, confidentiality, employment, procurement, and privacy obligations.

Where country-specific product assumptions apply, United States and Canada records may be separated for currency, geography, market-pack, escalation, benchmark, fee/tax, and regional privacy controls.

19. Operator Details

Beacon Build is currently operated by Beacon Build.

20. General Provisions

These terms, together with any policies referenced herein, constitute the entire agreement between you and us regarding the subject matter herein and supersede all prior representations, agreements, and understandings.

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

We may assign our rights and obligations under these terms in connection with a merger, acquisition, sale of assets, or by operation of law. You may not assign your rights under these terms without our prior written consent.

We will provide reasonable notice of material changes to these terms. For significant changes, we may require re-acceptance before continued use of the service. Continued use of the service after the effective date of any update constitutes acceptance of the revised terms.

We may update these terms from time to time. The latest version will control once posted in the product.
